1. Introduction
1.1. These Terms and Conditions apply to all users of the GoodsMarket platform and its services. By accessing the GoodsMarket platform, you agree to and are bound by these Terms and Conditions:

(d) Policies available for review at https://goodsmarketsr.net/ and https://goodsmarketsr.net/;
As well as any amendments, updates or modifications we may from time to time make to the above-mentioned items.
1.2. GoodsMarket reserves the right to modify these Terms in whole or in part. We will notify you in advance in accordance with the standards, conditions, and procedures prescribed by applicable law.
1.3. You confirm:
(a) You have reached the legal age and possess full capacity and legal capacity to enter into this Agreement and to be bound by its terms; or
(b) You are the parent or legal guardian of a person using the GoodsMarket platform, you agree to these Terms, and you shall ensure that the person using the GoodsMarket platform complies with these Terms.
1.4. If you have not reached the legal age of majority or do not possess full civil capacity, you must obtain the consent of your parents or legal guardian before opening an account on the GoodsMarket platform. If you are the parent or legal guardian of a minor who is creating an account, you must accept and comply with these Terms on behalf of the minor, be responsible for the minor’s conduct, and bear any costs incurred by the minor in using the GoodsMarket platform or services. If you have not obtained the consent of your parents or legal guardian, you must cease using or accessing the GoodsMarket platform or services.
2. Use the GoodsMarket platform
2.1. The GoodsMarket platform allows users to upload user-generated content (UGC) in the following forms: (a) general reviews of the GoodsMarket platform; (b) product reviews; (c) product recommendations; (d) before-and-after product usage comparison images; (e) short videos; (f) product usage guides; (g) live streams; and any other features, tools, or mechanisms published on the GoodsMarket platform. User-generated content will be published on the GoodsMarket platform and made available to all users for viewing.
2.2. You acknowledge and understand that we merely serve as a platform for users to upload content. You agree to bear all risks associated with accessing such content, and any decisions you make regarding viewing or accessing the content, or regarding any products or services sold or purchased as a result of viewing or accessing the content, are solely your own responsibility and do not constitute any liability on our part. You shall be solely responsible for all content that you upload or otherwise provide on the GoodsMarket platform.
2.3. The GoodsMarket platform may contain links to third-party websites that are not owned or controlled by us. We assume no control or responsibility whatsoever with respect to the content, privacy policies, or practices of any such third-party websites. Furthermore, we neither have the ability to review nor edit the content of any third-party websites. By using the GoodsMarket platform, you expressly agree to release us from any and all liabilities arising from your use of any such third-party websites.
2.4. We reserve the right to determine which users may access or use any features, tools, or services provided by the GoodsMarket platform (including viewing content on the GoodsMarket platform or uploading content to the GoodsMarket platform). You may not use another person’s account without authorization. You shall be solely responsible for all activities conducted on your account and must ensure the security of your account password. You may be liable for any loss or damage incurred by us or any third party as a result of any unauthorized use of your account.
2.5. Before uploading any content to the GoodsMarket platform, you shall comply with all applicable laws, regulations, policies or guidelines, and obtain all necessary regulatory approvals (for example, any applicable licenses or approvals required to display product advertisements).
3. Your Content
3.1. You hereby declare, state and warrant that you hold or have obtained all necessary licenses, rights, consents and authorizations required to publish the Content; and, except for GoodsMarket, you have licensed us with all patents, trademarks, trade secrets, copyrights or other proprietary rights pertaining to such Content for publication on the GoodsMarket Platform in accordance with these Terms.
3.2. By uploading content to the GoodsMarket platform, you hereby confirm that you hold the copyright to such content. If the content contains third-party materials for which you do not hold the copyright, you must obtain permission from the copyright holder before uploading, sharing, or distributing such content on the GoodsMarket platform.
3.3. Except for GoodsMarket, you retain ownership of your content. However, by using the GoodsMarket platform, you grant us a global, non-exclusive, royalty-free, sublicensable and transferable perpetual license permitting us to use, retain, recreate, reproduce, share, display, modify, distribute, create derivative works, exhibit, perform and/or disseminate your content and (where applicable) Seller’s live-streamed content for purposes related to this Service and our (and our parent company, successors and affiliates) business activities, including, but not limited to, promoting and redistributing, in whole or in part, the GoodsMarket platform and/or this Service (and its derivative works) in any media format and through any media channel.
3.4. GoodsMarket shall retain ownership of all goods uploaded to the GoodsMarket platform.
3.5. You hereby grant each user of the GoodsMarket Platform an non-exclusive license permitting such user to access your content through the GoodsMarket Platform, and to use, reproduce, distribute, display, perform and/or communicate such content to the public in accordance with the functions of the GoodsMarket Platform and the provisions of these Terms.
3.6. The above-mentioned license is perpetual and irrevocable.
3.7. You further agree that any content you upload to the GoodsMarket platform shall not contain third-party copyrighted material or material protected by the intellectual property rights or other ownership interests of any third party, unless you have obtained permission from the lawful owner of such material, or you have legal authority to publish such material and to grant us all the licensing rights conferred under these Terms.
3.8. GoodsMarket does not endorse in any way any content uploaded to the GoodsMarket platform or used by users or other licensees in connection with the Services, nor does it endorse any opinions, suggestions, or advice expressed therein; furthermore, GoodsMarket expressly disclaims all and any liability whatsoever arising from such content.
4. Prohibited Content
4.1. You agree not to upload or otherwise provide any prohibited content.
4.2. Without prejudice to the general applicability of the aforementioned clauses, you shall comply with the following restrictions:
(a) Shall not contain any offensive content, such as defamatory content, content involving violence, cruelty, nudity, sex, sexual deviance, pornography, sexual humiliation, solicitation of prostitution, offensive language, vulgar remarks, or hate speech; nor any indecent, obscene, false, or offensive content, regardless of whether such content is motivated by malice or the intent to harass, insult, threaten, or intimidate anyone.
(b) Does not contain any content unsuitable for users aged 18 or under.
(c) It is prohibited to publish any content that promotes terrorism or is related to terrorist activities.
(d) Shall not contain any content relating to physical, mental or sensory disabilities.
(e) Shall not contain any content that encourages public participation or promotes illegal activities, violence, the trafficking or consumption of narcotic drugs, psychotropic substances or other addictive substances.
(f) Shall not contain inciting or subversive content, such as inciting or encouraging conflict against the State or any State, its Constitution, government or laws; or inciting or encouraging conflict between different groups, races, religions or genders; or content that disparages religious or cultural beliefs.
(g) Content related to gambling – such as games, lotteries, horse racing, sports betting, astrology, feng shui, palm reading, or any other form of divination – is prohibited.
(h) Content involving minors shall not be published without the written consent of the minor’s parents or legal guardian.
(i) Shall not contain any content related to or promoting any content that is prohibited or banned by law.
(j) Shall not contain any content that infringes upon intellectual property rights or may cause confusion regarding relationships with other organizations or individuals.
(k) Without the written consent of the relevant organization or individual, one shall not impersonate such organization or individual.
(l) It is prohibited to publish any content that promotes political information.
(m) Shall not contain any content that violates the Data Protection Law or the Intellectual Property Law.
(n) Shall not contain misleading, false, exaggerated or deceptive content (e.g., misleading descriptions of the price of the products being sold, or false claims that the products are available in limited quantities or that complimentary gifts are included).
(o) Shall not contain any content featuring terms such as “best,” “most,” “first,” “verified,” “top-tier,” or similar expressions, unless permitted by applicable laws, regulations, policies, or guidelines.
(p) Unless permitted by applicable laws, regulations, policies, or guidelines, you shall not publish any content that directly compares the price, quality, or efficiency of your product with those of other products (for sellers).
(q) Spam, phishing, or fraudulent content is prohibited.
(r) No content that violates policies shall be included, including but not limited to the GoodsMarket community policies and guidelines.
(s) shall not contain any content that would give rise to a fundamental misunderstanding of the goods or services, whether such misunderstanding arises from the use or reference to technical reports, statistical data, or any false, exaggerated, or non-false content;
(t) Shall not directly or indirectly support content that violates laws or ethics, or content that is detrimental to the national culture;
(u) Shall not contain any content that would lead to division or undermine the unity of the people;
4.3. If your content involves the use of physical stunts (for example, where there is a risk of causing injury or damage to property or persons), you must ensure that the phrase “Do not attempt” or a similar statement is prominently displayed on the content.
4.4. We do not permit any activities that infringe upon copyright or intellectual property rights on the GoodsMarket platform; should we receive a valid notice of such infringement, we will remove all relevant content in accordance with applicable intellectual property laws.
4.5. We reserve the right to delete any content, take any compulsory measures that we deem necessary (including any compulsory measures as from time to time stipulated in our Policies, or to submit reports to any regulatory or law enforcement authorities), and/or to seek any other remedies available under applicable laws and regulations, in each case without providing you with any prior notice or giving any reason.
4.6. You agree that GoodsMarket shall not be liable for any loss or damage arising from GoodsMarket’s exercise of its discretion to remove content and/or any other action taken in accordance with Article 4.5 above.
5. GoodsMarket Software License and Exclusive Rights
5.1. All intellectual property rights pertaining to the GoodsMarket Platform – whether or not such rights are registered, including any GoodsMarket PGC or information content hosted on the GoodsMarket Platform, as well as all website designs, trademarks, logos, text, graphics, software, photographs, videos, music, audio recordings and their selection and arrangement, and all software compilations, underlying source code and software (collectively referred to as the “Intellectual Property”) – shall be owned by us or, where applicable, by our affiliated companies or the intellectual property owners of third parties. All content on the GoodsMarket Platform is protected by applicable intellectual property laws.
5.2. Except as expressly permitted under this Clause, you shall not copy, reprint, distribute, license, transfer, publish or otherwise handle the GoodsMarket Platform, its intellectual property and content, or any part thereof, in any form. You shall not disassemble, decompile or reverse engineer the GoodsMarket Platform.
6. Restrictions on using the GoodsMarket platform
6.1. GoodsMarket hereby grants you non-exclusive, non-transferable and revocable rights that permit you to use the GoodsMarket platform in accordance with these Terms and Conditions; provided, however, that you shall not engage in any of the following acts while using the GoodsMarket platform:
(a) You may not download or record any content unless you see a “Download” button or a hyperlink to download the content on the GoodsMarket platform; you may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create any derivative work of the GoodsMarket platform or of any content thereon – including any files, forms, or documents (or any part thereof) – nor may you identify or attempt to identify any source code, algorithms, methods, or techniques contained in the Service or any such derivative work;
(b) To distribute, license, transfer or sell the GoodsMarket platform or any derivative work thereof, in whole or in part;
(c) Using the GoodsMarket platform for any commercial or unauthorized purpose without our prior written consent, including disseminating or assisting in the distribution of any commercial advertisement or solicitation, or sending spam;
(d) Impersonating any individual or entity, or making false statements or otherwise distorting your relationship with any individual or entity, including giving the impression that any content you have uploaded, published, transmitted, distributed, or otherwise provided originates from the GoodsMarket platform;
(e) Threatening, abusing, disturbing or harassing others; or promoting pornographic content, violence, or discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
(f) Unauthorized use or attempt to use another person’s account, service, or system, or creation of a false identity on the GoodsMarket platform;
(g) Using the GoodsMarket platform in any manner that may undermine the purpose of the GoodsMarket platform, such as exchanging reviews with other users or creating or soliciting false reviews;
(h) You shall not use or activate any automated system (including, but not limited to, “robots” or “web crawlers”) to upload, transmit, distribute, store, or otherwise provide any file containing viruses, Trojans, worms, logic bombs, or other malicious or technically harmful material, nor shall you obtain access to any part of the GoodsMarket Platform without our prior explicit authorization. You shall not use any automated system or software that could, in any manner, overload the GoodsMarket Platform or the GoodsMarket Content Service Server, including, but not limited to, launching a distributed denial-of-service (DDoS) attack against the GoodsMarket Platform or the GoodsMarket Content Service.
(i) Bypassing the internal operations of the GoodsMarket platform (including security features) (including modifying the code or interface of the GoodsMarket platform or GoodsMarket content services);
(j) Conducting “manual searches” for other users on the GoodsMarket platform, including disclosing the personal information of such users (including name, email address, address, and telephone number);
(k) Promote products sold on websites, applications, or platforms other than the GoodsMarket platform;
(l) To permit or participate in any fraudulent activity targeting users, GoodsMarket, or third parties, including the use of bots or technologies to increase page views, follower counts, or sales figures, or to manipulate or falsify data;
(m) Promoting or assisting in the sale of counterfeit goods or goods that infringe upon the intellectual property rights of a third party; and/or
(n) Upload, share, or distribute content that may adversely affect other users’ use of the GoodsMarket platform, GoodsMarket content services, or the goodwill or reputation of GoodsMarket.
7. What measures may we take if you violate these Terms?
7.1. You agree that if the use of content on the GoodsMarket platform or the services provided by GoodsMarket violates applicable law, these Terms and Conditions, or our policies, then the measures set forth in these Terms and Conditions shall apply. You agree that this does not affect any other rights or remedies that GoodsMarket may have under these Terms and Conditions or under applicable law. Such measures include (but are not limited to):
(a) Immediately delete the content;
(b) Delete any or all saved content;
(c) Your account has been suspended or terminated;
(d) You are prohibited from using the GoodsMarket platform or services either for a specified period or permanently; or
(e) Take any other action against you or any account you have registered on GoodsMarket (including imposing non-compliance penalties on non-compliant sellers or revoking any transactions conducted by infringing users on the GoodsMarket platform).
7.2. We may delete any content that you have uploaded to the GoodsMarket platform for any reason, or restrict others from accessing any content that you have uploaded to the GoodsMarket platform, including but not limited to:
(a) When we deem content to be prohibited, the final decision shall be at our sole discretion;
(b) When we receive a request from any entity to delete content;
(c) We have received any complaints from other users regarding the content.
7.3. Although you own your content, you agree that if you violate these Terms, we shall have the right to modify your content (including splicing, cropping, or otherwise editing your content), and may use or distribute your content (whether or not modified) at our sole discretion without obtaining your prior permission.
7.4. When you upload content to the GoodsMarket platform, you consent to us disclosing your identity to other third parties (including all information you share with us when you create an account on the GoodsMarket platform).
8. Compensation
If you violate these Terms and Conditions and/or our policies, resulting in any loss or damage to us, you shall bear full responsibility. You further agree to defend, compensate, and protect us, our affiliates, managers, directors, employees, and agents against any and all claims, losses, or liabilities arising from your use or access to the GoodsMarket Content Services or the GoodsMarket Platform, or from your violation of these Terms and Conditions and/or applicable policies. We may also take over any matter for which you are liable to pay compensation; you must cooperate with us in raising any such defense and reimburse us for any legal costs incurred as a result.
If a Seller fails to fulfill its obligations or commitments made to the User in connection with or during the live broadcast (as determined by GoodsMarket), GoodsMarket shall have the right to independently decide to refund, provide and/or pay (including in the form of vouchers) any amount, remuneration or prize payable to the Buyer. GoodsMarket shall have the right to deduct such amounts, remuneration or prizes from any payment it is required to make to the Seller, including any amounts collected by GoodsMarket on behalf of the Seller.
9. Liability Limitation
9.1. The GoodsMarket Platform and all data and/or information and/or services contained therein are provided “as is” and “as available”; GoodsMarket makes no express, implied or statutory warranty, representation or statement regarding the GoodsMarket Platform and/or the Services, including but not limited to warranties that the Platform and/or the Services do not infringe upon the rights or ownership of any third party, are fit for purpose, are satisfactory in quality, or are suitable for any particular purpose. All data and/or information contained within the GoodsMarket Platform and/or the Services are for reference only.
9.2. Without limiting the foregoing provisions, we do not guarantee that the GoodsMarket Platform and/or its Services, or any features contained therein, will be available, accessible, uninterrupted, timely, secure, accurate, complete, or free of errors; nor do we guarantee that any defects (if any) will be corrected, or that the GoodsMarket Platform and/or the servers providing such Platform will be free of viruses, clocks, timers, counters, worms, software locks, defective equipment, Trojan horses, routers, backdoors, time bombs, or any other harmful code, instructions, programs, or components.
9.3. GoodsMarket and all its relevant senior executives, employees, directors, agents, contractors and assignees shall not be liable for any loss incurred by you, whether directly or indirectly, for any of the following reasons (regardless of the form of litigation adopted):
(a) Any situation where access to, use of, or inability to use the GoodsMarket platform or its services occurs;
(b) Dependence on any data or information provided through the GoodsMarket platform and/or services; you should not take any action based on such data or information without having independently verified its content in advance;
(c) Any system, server, or connectivity failure, error, omission, interruption, transmission delay, computer virus or other malicious, destructive or harmful code, proxy program or macro; and
(d) Any act of using or accessing any other website or web page linked to the GoodsMarket platform, even if we or our managers, agents or employees may have been informed of or otherwise anticipated such possibility.
9.4. You shall bear all risks arising from any misunderstanding, error, damage, cost or loss resulting from your use of the GoodsMarket platform and/or its services; we shall not be liable for such risks.
10. Explanation
10.1. In this Clause:
“Buyer” refers to a buyer registered on the GoodsMarket platform.
“Content” refers to any audio, audio sequences, music, text, images/static images, photographs, dynamic images, videos, software programs, code, or other audiovisual forms or combinations of audiovisual content, or any haptic forms or any combination of the above-mentioned content, which can be created, processed, stored, retrieved, or transmitted electronically; such Content includes, but is not limited to, any content on any interactive user-generated content (UGC) channel or tab on the GoodsMarket platform, live-streaming content, seller live-streaming content, GoodsMarket platform user-generated content (PGC), UGC, as well as comments, reviews, and other user interactions published on the GoodsMarket platform (including, but not limited to, such content on any interactive UGC channel or tab on the GoodsMarket platform, or content related to any live-streaming content, seller live-streaming content, GoodsMarket platform user-generated content (PGC), or UGC).
“GoodsMarket Content Service” refers to viewing, accessing, publishing, sharing, or uploading any content on the GoodsMarket platform.
“GoodsMarket PGC” refers to any content generated by a third party commissioned or employed by GoodsMarket (for clarity, this includes live-streaming content).
The “GoodsMarket Platform” refers to any other internet domain name property of GoodsMarket or its affiliated companies, the GoodsMarket iOS or Android mobile application, and (where applicable) the Seller Center;
“Policy” refers to the rules, guidelines, terms and conditions, and other documents applicable to users’ use of Services, the GoodsMarket Platform, the Seller Center, Tools, and other GoodsMarket Assets; such rules, guidelines, terms and conditions, and other documents may be available on the GoodsMarket Platform or in the Seller Center, or may be issued from time to time by GoodsMarket, including (but not limited to) the Privacy Policy and the GoodsMarket Community Policy and Community Guidelines.
“Prohibited content” refers to any of the following:
(a) Violation of any law, regulation, or any guidelines or other documents issued by any government or regulatory authority;
(b) Listed as prohibited content under Article 4;
(c) Violation of GoodsMarket’s policies, including (but not limited to) the GoodsMarket Community Policy and Community Guidelines; or
(d) GoodsMarket may, at its sole discretion, determine that a product is not suitable for listing on the GoodsMarket platform.
“Seller” refers to a seller who provides or sells goods to buyers through the GoodsMarket platform, including third-party suppliers. GoodsMarket itself may also act as a “seller” for certain goods.
“Seller Center” refers to any tools provided by GoodsMarket to sellers for conducting business on the GoodsMarket platform and accessing the services and tools offered at [https://goodsmarketsr.net/]. Every instance of “Seller Center” shall include the GoodsMarket Seller University, available at [https://goodsmarketsr.net/].
“Service” refers to any service, information or feature provided by GoodsMarket or its affiliates on the GoodsMarket platform; for the avoidance of doubt, this includes GoodsMarket content services. Unless otherwise expressly specified, any reference to the GoodsMarket platform in this Clause shall include the Service or any part thereof.
“Terms” refers to these Terms and Conditions. These Terms should be read in conjunction with the GoodsMarket Terms of Use (URL: https://goodsmarketsr.net/); the Terms of Use constitute the agreement between you and us regarding your use of the GoodsMarket platform and its services. In the event of any conflict between these Terms and the GoodsMarket Terms of Use, these Terms shall prevail with respect to all content on the GoodsMarket platform.
“Third-party supplier” refers to a seller authorized by GoodsMarket to sell products to buyers through the Platform and/or Services; however, GoodsMarket itself is not considered a third-party supplier.
“Tools” refers to any tools provided to you by GoodsMarket or its affiliates that are related to your access to and use of the Services.
“UGC” refers to any content created and uploaded by users to the GoodsMarket platform that can be accessed or viewed.”User” refers to any user of the GoodsMarket platform and/or its services, including, where applicable, sellers and buyers on the GoodsMarket platform.
